By accessing or using Adroyt ("the Service"), you agree to be bound by these Terms of Service. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these terms.

Adroyt is an AI-powered project management platform that provides automated project health monitoring, resource optimization, risk assessment, portfolio management, and other PMO capabilities through 25 specialized AI agents.

You must provide accurate and complete information when creating an account. You are responsible for maintaining the security of your account credentials and for all activities that occur under your account. Notify us immediately of any unauthorized access.

• Free trials last 14 days and do not require payment information.
• Paid subscriptions are billed monthly or annually as selected.
• You may cancel at any time; access continues until the end of the current billing period.
• Refunds are provided in accordance with our refund policy.
• We reserve the right to adjust pricing with 30 days' advance notice.

You agree not to:

• Use the Service for any unlawful purpose or in violation of any regulations
• Attempt to gain unauthorized access to the Service or its related systems
• Interfere with or disrupt the integrity or performance of the Service
• Reverse engineer, decompile, or disassemble any part of the Service
• Use the Service to transmit malicious code or harmful content
• Resell or redistribute the Service without written authorization

You retain ownership of all data you upload to the Service. By using the Service, you grant us a limited license to process your data solely to operate the platform and provide AI-driven insights. We will not use your data for any other purpose.

You can export or delete your data at any time through the platform settings. See our Privacy Policy for details on data handling.

Our AI agents provide recommendations, risk assessments, and analytics based on your project data. These outputs are intended as decision-support tools and should not be treated as a substitute for professional judgment. We do not guarantee the accuracy or completeness of AI-generated insights.

The Service, including its software, design, AI models, and documentation, is owned by Adroyt and protected by intellectual property laws. Your subscription grants you a non-exclusive, non-transferable license to use the Service for your internal business purposes.

We strive for 99.9% uptime but do not guarantee uninterrupted access. Scheduled maintenance will be communicated in advance. We are not liable for downtime caused by circumstances beyond our reasonable control.

To the maximum extent permitted by law, Adroyt shall not be liable for indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly. Our total liability shall not exceed the amount you paid for the Service in the 12 months preceding the claim.

Either party may terminate this agreement at any time. We may suspend or terminate your access if you violate these terms. Upon termination, your right to use the Service ceases and your data will be handled in accordance with our Privacy Policy.

We may modify these terms with 30 days' notice. Material changes will be communicated via email. Continued use after changes take effect constitutes acceptance of the revised terms.

These terms are governed by the laws of the State of California, without regard to its conflict of laws provisions. Any disputes shall be resolved in the courts of San Francisco County, California.
